Terms of Service
How the Agenteach service works for schools, districts, and their staff. Our Privacy Policy is incorporated into these Terms.
Effective date: July 21, 2026 · Last updated: October 19, 2026 · Contact: legal@agentea.ch
1. The service
Agenteach (the "Service"), operated by Agenteach Inc. ("Agenteach," "we," "us"), is an AI-assisted workspace for teachers and school staff: district-approved SIS data through our integration partner Ednition (see Privacy Policy §7), attendance follow-up tracking, case notes and support plans, and teacher-reviewed drafting of family communications. SIS data includes roster/directory, daily attendance and absence codes, guardian contacts where shared, and course grades/credits only when the district enables the counselor academic view. The SIS remains the record of truth for attendance; Agenteach does not change it. A person approves family drafts and staff send them through district channels; Agenteach does not send family messages or file reports with any agency. The Service is provided to schools and districts ("LEAs") and their authorized staff ("Users"). Students are not Users and may not create accounts.
2. Agreements and precedence
Use by an LEA is typically governed by a signed data privacy agreement (e.g., the SDPC National Data Privacy Agreement or a state variant). If these Terms conflict with a signed LEA agreement, the LEA agreement controls. Our Privacy Policy is incorporated into these Terms.
3. Accounts and access
Users sign in with their institution's Google or Microsoft identity, or through the LEA's single sign-on provider (for example Clever or ClassLink) where the LEA has enabled it. Users must be authorized by their LEA, keep credentials secure, and use the Service only within their assigned role and student relationships. We may suspend access to protect the Service or its data.
4. Student data
As between the parties, student data is and remains the property of the LEA (and, as applicable, the parent/eligible student). We process it only to provide the Service, as described in the Privacy Policy and applicable LEA agreement. We do not sell student data, use it for targeted advertising, build non-educational profiles, or use it to train AI models.
5. Acceptable use
Users must not: use the Service outside their LEA-authorized role; provide data they lack authority to process; attempt to access other tenants' data; probe or defeat security controls; use the Service to make automated decisions about students or to produce AI risk scores, predictions, or referral decisions; or resell the Service.
6. AI-assisted features
AI features produce drafts and suggestions only. Users must review AI output before relying on it, sending it, or saving it as a record. AI output may contain errors; the teacher, not the Service, is the author of record for anything sent or filed. AI must never make decisions about students, including grading, discipline, special education, eligibility, referral, or diagnostic determinations. No AI risk scores or predictions are permitted. Attendance flags follow district-set rules and thresholds, not AI.
7. Intellectual property
We retain all rights in the Service. The LEA retains all rights in its data. Users retain rights in content they author; we receive only the license needed to operate the Service.
8. Availability, warranties, liability
The Service is provided on an "as available" basis for pilot and production use as agreed with each LEA. EXCEPT AS STATED IN A SIGNED LEA AGREEMENT, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, AND OUR AGGREGATE LIABILITY IS LIMITED TO THE FEES PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. Nothing here limits liability that cannot be limited by law, or obligations (including breach cost responsibilities) accepted in a signed LEA agreement.
9. Term, termination, and data return
Either party may terminate per the applicable LEA agreement. On termination or written request, we export LEA data in a usable format (if requested) and delete student data within 60 days, subject to legal holds and the backup-cycle caveats in the Privacy Policy.
10. Changes
We will post updated Terms with a new effective date and notify LEA contacts and Users in advance of material changes.
Change log
v1.2 (2026-10-19) — aligned SIS/Ednition sources, removed Classroom/LMS/evidence paths, clarified staff handoff with no family sending or agency filing, and made AI student-decision limits absolute. Corrected the legal entity name to Agenteach Inc. No retained privacy, security, or data-return protection was weakened.
v1.1 (2026-09-04) — §1 and §3 updated to reflect roster sync and single sign-on through district SIS/LMS systems via our integration partner Ednition, described in Privacy Policy §7. No change to any commitment.
v1.0 (2026-07-21) — first published version.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Signed LEA agreements typically apply the LEA's own state law (for example, Texas law for TX-NDPA districts); where they do, the LEA agreement controls for that LEA (§2).
